Services Agreement

Completing an order through our credit card processor constitutes acceptance of these terms and conditions.

• Services: Service to be performed by MFParsons for you shall include: web page design and maintenance, web hosting, graphic design, photography, copywriting and other duties specified by you.
• Billing:MFParsons bills via automatic credit card charge on a monthly basis for work performed.  Your Payment Method will be charged the applicable fee for the Package Service you choose on the date that you click on the “Pay Now” button in the ordering process. Our offerings include Services payable by recurring payments. You agree that MFParsons may automatically charge the fee to your Payment Method at the beginning of each recurring period. For example, if you choose a Service with a monthly plan, you will be billed every month on the anniversary date of the date you clicked the “Pay Now” button.
• Terms: Terms of payment are net 5 days.  Accounts over five days are subject to interruptions in services (web site and e-mail hosting) and a $50 re-connection fee.
• Refund Policy:  Because our company is offering non-tangible irrevocable goods which you are responsible for understanding, we do not issue refunds after payments. Please make sure that you’ve carefully read all relevant documentation. You must cancel within 14 days to avoid monthly charges, where monthly charges are applicable. Cancellation during the 14 day ‘Test Drive’ period forfeits hosting and all claims or rights of any kind to any and all website development work done prior to cancellation, but you may transfer your domain name to the registrar of your choice. You will be refunded your purchase price minus $29.99 to cover hosting and URL acquisition costs. Certain additional fees, to be paid by you, may apply to domain name transfer.
• Confidential Information: MFParsons is under a duty to disseminate or use for its purposes, either during or after termination of this contract, any confidential information imparted to it by you, and is under the duty to use reasonable care to restrict dissemination of such information on a ‘need to know’ basis. Confidential information in regard to these contractual obligations shall mean any information imparted to the MFParsons by you in writing and designated thereon as “Confidential Information“.
• Express Warranty Against Intellectual Property Infringement: You warrant that all materials, including photographs, logos, and designs delivered to MFParsons under this agreement shall not infringe on the copyright, patent, trademark or trade secrets of any third party.
• Ideas and Materials: Photographs, graphics, designs and design elements you supply remain the exclusive property of you. MFParsons will take reasonable care of all materials entrusted to it on behalf of you and shall return them to you upon request and upon expiration or termination of this agreement, but in absence of gross negligence on the part of MFParsons or willful disregard by MFParsons of your property rights, MFParsons will not be held responsible for any loss, damage, destruction or unauthorized use by others of such property. While MFParsons takes great care in the handling of all materials left in its care, you agree to provide only expendable, duplicate materials (e.g. slides, photos, artwork) for processing and/or scanning.
• Objectionable Materials: You agree to abstain from posting objectionable material (images, text, audio or video), as determined by MFParsons, on web sites hosted or designed by MFParsons.
• Indemnification: You will indemnify and hold MFParsons, its employees, advertisers and shareholders harmless against any liability, loss, damage or cost (i.e. attorney’s fees) arising out of any claim, suit or proceeding based on any action taken by MFParsons on behalf of you.
• Termination: This agreement shall continue in perpetuity, at will, until terminated by either party upon written notice mailed or electronically delivered to the other party. The rights, duties, and responsibilities of the parties shall continue in full force until notice is received. After notice is received, the agreement is terminated. No rights or liabilities shall arise out of this relationship in respect of unfinished work, regardless of any future plans for this work; provided, however, that the MFParsons shall be entitled to reimbursement of costs incurred and payment of services rendered prior to expiration of such notice.
• Agreement In Toto:  This agreement supersedes any other agreements, either oral or in writing, between the parties hereto, and contains all the covenants and agreements between the parties hereto. Any modification of this agreement will be effective only if it is in writing by the party(ies) to be charged.

You agree to pay MFParsons all charges incurred under your account for any Service in which you or anyone else who uses your account (including children, family and friends) enroll in accordance with this Agreement and any applicable Services policies. If your Payment Method fails or your account is past due, (a) you agree to pay all amounts due on your account upon demand, (b) MFParsons may collect fees owed using other collection mechanisms (this includes charging other payment methods on file with us) and (c) MFParsons reserves the right to either suspend or terminate your Services or your account with MFParsons, including deletion of your Website.

Except as may be set forth herein, any fees charged to your account are non-refundable. You agree to submit any disputes regarding any charge to your account in writing (electronic or traditional mail) to MFParsons within thirty (30) days of such charge, otherwise such dispute will be waived and such charge will be final and not subject to challenge. Refunds (if any) made pursuant to such dispute, are at the discretion of MFParsons.

Website Hosting:
In order for someone to view your website, you must place your data on a server. This is what web hosting is; you pay to connect your URL to your files (web pages). Your web hosting is NOT unlimited. However, your hosting package includes limits which most websites will never exceed, either in bandwidth or in disk space. Should your website exceed the limitation of the current hosting plan, you will be transferred to a plan, at no cost to you, which will handle your data and bandwidth needs, up to, but not including, a dedicated server.  Dedicated servers are available at an additional monthly cost.

Article Advertisement:
“Article Advertisement” will be placed on my eZineArticles.com “Expert Author” account in the second month of your membership, and only after completion of a questionnaire or phone interview about the topic of choice. Your consent and final approval are required before this post will be made. Additional Articles may be purchased at additional cost at any time from the member’s area of this website.

Weekly On-Demand Content Updates:
In the case of website content, the website owners or their representative should send an email detailing the information they wish to have posted to their websites. The email address will be provided in your “Welcome” email. Content will be spell-checked and formatted, but otherwise not proof-read. If there are to be adjustment to the design of the website, a phone call will suffice. The phone number to use will be provided in your “Welcome” email. “Next Day Guarantee” means the following: we guarantee that, if technically possible, your update will be online and viewable by 9 AM Eastern Time the following day, Holidays excluded. Custom HTML, complete redesigns and other technical issues do not fall under the prevue of this guarantee, and you will be notified of this before work begins on the update.

SSL Certificates:
SSL stands for “Secure Socket Layer” and is the only acceptable way to encrypt secure data, such as credit card information. This is the feature that puts the “lock” icon and the “HTTPS://” in your web-browser. Ecommerce sites must have an SSL certificate to be in PCI compliance. If you plan to take credit cards on your site (not PayPal, or similar service, which is an off-site transaction), host secured data, or create a custom Facebook Fan Page, then you MUST have an SSL Certificate. Our SSL Certificates start at $50 per Year and are powered by GeoTrust. SSL Certificates are available for purchase in the member’s area of this website.

Limited On-Page SEO:
Search Engine Optimization is an “artistic science” which can involve hundreds of man hours. We design our sites for good on-page SEO from the beginning, limiting the need for intensive Search Engine Optimization restructuring. We use proven, traditional methodologies to help the search engines find your website for the terms you want. These methodologies include, but are not limited to, proper ALT text on images, proper ‘permalinks’ formation, contextual relevancy and proper website code. There is not now, nor will there ever be, an implied or expressed guarantee of positional rankings on any search engine results page. This is provided as part of our “Good Design” initiative.

Website Software Patches:
There comes a point in time where every piece of software (apps, plug-ins, widgets, etc) undergoes revision. When and if the software your website is using is in need of such revision, we will perform the steps necessary to ensure you have the latest version available. Notification and release of any updates or upgrades is under the control of the entity that created said software. This free service is part of our “Good Design” initiative.

Mobile Website:
A mobile website is a version of your data (website pages) formatted so a web-enabled Smartphone may display it quickly and cleanly. It will, when possible, share aesthetic and programming similarities with your ‘desktop’ (regular) web page. A mobile website generally contains most, if not all, the information of a ‘desktop’ website, but fewer images. Where possible, click-to-call will be enabled on your mobile website.

Inclusion in Business Directories:
Your URL, Address and Phone number will appear in up to three of our regionalized Web Directories, when this service is launched.

“No-Worries” Supervision:
You have no passwords to remember, no software to learn, no FTP to fight with, and no necessary interaction with the inner workings of your website. You are free to run your business without having to worry about when, or IF, you’ll get a chance to fix “that thing on the site”. FULL Off-Line, Offsite Backups:
Backing up your data is very important. No matter how hard we try, no one is immune from online threats. We will make weekly backups to our physical, offline hard disk drive. While using AWS (Amazon Web Services) for your backups is standard operating procedure for most management companies, we believe that the small added cost of full backup is worth far less than the potential downtime of rebuilding your website from scratch. Also, AWS backup and restoration is often times software dependant, and if that server-based software is destroyed in the disaster, and it most likely will be, then you may not be able to fully recover from the disaster. We don’t just backup the databases, we backup the entire website.
